VetXpress Seller Terms & Conditions

For Partner Outlets, Vet Clinics, Pet Stores, Agrovets & Supermarkets

1. Who This Agreement Is Between

This Agreement is between Farm Alert Limited, operator of the VetXpress platform ("VetXpress," "we," "us"), and the partner outlet named in the onboarding application ("Seller," "Partner," "you"), a vet clinic, pet store, agrovet, or supermarket approved to fulfil orders placed on VetXpress.

VetXpress acts as an intermediary, not as the seller of record. We connect buyers to Sellers and facilitate payment, delivery, and dispute resolution, we do not manufacture, own, or take title to the products Sellers list and fulfil. Each sale is a transaction between the Seller and the buyer, conducted through the VetXpress platform.

2. Eligibility & Onboarding

To become a VetXpress Seller, a partner outlet must:

  • Hold a valid business registration and, where applicable, veterinary or pharmaceutical licensing appropriate to the products stocked.
  • Provide an accurate business address and permit geo-mapping of the outlet's location for order-matching purposes.
  • Accept these Terms and the commission/fee structure disclosed at onboarding.
  • Assign a dedicated staff member responsible for VetXpress orders ("Store Manager"). This person is responsible for monitoring incoming orders, confirming or declining them within the required window (Section 4), keeping stock levels accurate, and serving as the outlet's point of contact with VetXpress support. A Seller may name a backup Store Manager for coverage during the primary contact's absence, but at least one designated, reachable person must be responsible for the store's VetXpress activity at all times during the outlet's stated operating hours.

3. Listings, Pricing & Stock

The product catalogue (names, descriptions, categories, images) is centrally managed by VetXpress. Sellers select which catalogue products they stock, Sellers do not create their own listings.

Sellers set their own prices for the products they stock. VetXpress does not dictate or cap pricing, and displays each Seller's price transparently alongside other qualifying Sellers so buyers can compare.

Sellers control what share of their stock is available for VetXpress orders ("online" stock) versus reserved for their own walk-in customers ("offline" stock). Only online stock is visible to and sellable through VetXpress.

Stock levels shown on VetXpress must be accurate. Repeatedly accepting orders for items not actually in stock is a breach of this Agreement (see Section 9).

Sellers may separately purchase wholesale inventory from Farm Alert's distribution centres through the platform's partner ordering feature; doing so can automatically replenish a Seller's online stock count.

4. Order Confirmation & Fulfilment, Service Schedule

Timely response is central to the buyer experience VetXpress promises, and it is the single most important operational obligation in this Agreement. The table below sets out the required timelines that apply to every Seller on the platform.

Repeated failure to confirm orders within the required window is treated as a performance issue under Section 9 and may affect a Seller's ranking in buyer-facing comparisons, independent of price and distance.

5. Ratings & Performance

Buyers may rate and review their experience with a Seller after each completed order, covering factors such as order accuracy, packaging, and timeliness.

Ratings are visible to future buyers as part of the comparison VetXpress shows at checkout, alongside price and distance, a Seller's rating is a genuine competitive factor, not just a formality.

Sellers may appeal a rating they believe is inaccurate or unfair within the window set out in Section 4, through the Seller portal. VetXpress will review flagged ratings but does not guarantee removal.

Sellers falling below a minimum average rating of 3.5 out of 5, measured over a rolling 30-day period, may receive a formal warning, followed by reduced visibility in buyer comparisons, and ultimately suspension if performance does not improve, see Section 9.

6. Payments & Settlement

Buyers pay VetXpress directly at checkout. VetXpress does not collect payment on the Seller's behalf informally or outside the platform.

VetXpress remits payment to Sellers on the weekly schedule set out in Section 4, less platform commission disclosed at onboarding.

Settlement statements, itemized by order, are available to Sellers through the partner portal.

Disputed payouts must be raised within 14 days of the relevant settlement date.

7. Product Quality & Verification

Sellers warrant that all products fulfilled through VetXpress are genuine, within any applicable expiry date, and in the condition described in the catalogue listing.

For delivery orders, the assigned rider verifies the goods against the order, quantity, product identity, and visible condition, before leaving the Seller's premises. A Seller should ensure the Store Manager or designated staff is available to support this check at handover.

For pickup orders, the Seller confirms the buyer's identity via the QR code presented before releasing goods.

Any mismatch identified at verification pauses the order and is routed to VetXpress support rather than resolved informally between rider and Seller.

8. Independent Business Relationship

Sellers operate as independent businesses. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between Farm Alert/VetXpress and the Seller. Sellers remain free to operate their own walk-in trade, set their own prices, and are not required to fulfil VetXpress orders exclusively through this platform.

9. Suspension & Termination

VetXpress may suspend or terminate a Seller's account for:

  • Repeated failure to meet the order-confirmation or fulfilment timelines in Section 4;
  • Repeatedly listing stock that is not actually available;
  • Sustained poor ratings as described in Section 5;
  • Selling counterfeit, expired, or misrepresented products;
  • Attempting to redirect buyers to transact outside the VetXpress platform;
  • Breach of any other material term of this Agreement.

Where practical, VetXpress will issue a written warning and a reasonable opportunity to correct the issue before suspension, except in cases of fraud, counterfeit goods, or conduct posing a safety risk to buyers, where immediate suspension may apply.

10. Liability

Each party is responsible for its own acts and omissions. VetXpress's role as an intermediary means product quality, accuracy of fulfilment, and compliance with any professional licensing requirements (e.g., veterinary products) remain the Seller's responsibility.

11. Confidentiality & Data

Order data, buyer contact information, and pricing visibility provided through the platform are made available to Sellers solely to fulfil VetXpress orders, and must not be used for unrelated marketing or shared with third parties without buyer consent.

12. Amendments & Governing Law

VetXpress may update these Terms from time to time, with reasonable notice to Sellers before changes take effect. Continued use of the platform after that notice period constitutes acceptance of the updated Terms. This Agreement is governed by the laws of the Federal Republic of Nigeria, without prejudice to additional local requirements as VetXpress expands to other countries.

These Terms constitute the full agreement between Farm Alert Limited and the Seller with respect to participation on the VetXpress platform, and supersede any prior understanding on the subject.
